Comprehensive Agreement Framework for Artistic Services
Introduction
These Terms and Conditions constitute a binding agreement (“Agreement”) between the freelance artist ("Artist") and the client ("Client") regarding the provision of artistic services, including but not limited to illustration, painting, graphic design, digital art, and related creative work. The Agreement is intended to protect the rights and obligations of both parties, ensure clear communication, and set forth the terms of engagement for each commissioned project.Scope of Services
• The Artist shall provide creative services as specified in the written project brief agreed upon by both parties before commencement.
• Services may include concept development, sketches, drafts, finished artwork, revisions, and any deliverables outlined in the project scope.
• The Artist agrees to perform services with reasonable skill, care, and diligence according to industry standards.
• Any additional services, modifications, or extensions to the original scope must be agreed upon in writing and may incur additional charges.
Project Timeline and Delivery
• The Artist will endeavour to meet the mutually agreed timelines outlined in the project brief.
• Delivery dates are contingent upon the Client supplying all necessary information and feedback in a timely manner.
• Delays caused by late responses, changes to the scope, or unforeseen circumstances may result in adjusted timelines.
• Final deliverables will be provided in the format(s) specified in the project brief, such as high-resolution digital files or physical media.
Payment Terms
• The Artist’s fees will be established in the project quote or invoice, which must be accepted by the Client before work commences.
• The total balance will be due upon completion and delivery of the draft artwork, or in installments according to a payment schedule.
• All payments must be made within 14 days of receipt of the invoice unless otherwise specified.
• Payment shall be made via PayPal.
Copyright and Ownership
• Unless explicitly transferred in writing, all intellectual property rights, including copyright, remain with the Artist.
• Any commercial use, reproduction, or alteration of the artwork beyond the original scope requires written permission from the Artist and may be subject to additional fees.
• The Artist retains the right to showcase completed work in their portfolio, on their website, and in promotional materials unless otherwise agreed in writing.
• Raw files, including but not limited to layered PSDs, KRA files, working documents, or unfinished concepts, remain the property of the Artist unless included in the deliverables.
Revisions and Amendments
• The project fee typically includes a set number of reasonable revisions as specified in the project brief.
• Additional revisions requested by the Client beyond this may incur extra charges at the Artist’s per-revision rate.
• Significant changes to the project scope or direction will require a new agreement or amendment to the existing terms.
Client Responsibilities
• The Client shall provide clear, comprehensive instructions and reference materials where necessary.
• Feedback on drafts, WIPs (Work in Progresses), and revisions should be timely and constructive.
• The Client must ensure they have the necessary rights to all materials provided to the Artist for use in the project.
• The Client is responsible for reviewing all deliverables within the agreed timeframe and notifying the Artist of any issues or requests for amendments.
Artist Responsibilities
• The Artist agrees to maintain confidentiality regarding the Client’s sensitive information and proprietary materials.
• The Artist will create original work and avoid infringing upon third-party copyrights or trademarks.
• The Artist will communicate progress, share drafts for approval, and advise the Client of any issues or delays promptly.
• Should the Artist be unable to complete the project due to illness or unforeseen circumstances, the Client will be notified as soon as possible, and alternative arrangements may be proposed.
Cancellation and Termination
• Either party may terminate the Agreement at any time by providing written notice.
• If the Client cancels the project prior to the rough draft, no penalties or charges will occur.
• If the Client cancels the project post-rough draft and full payment, the amount paid is non-refundable.
• If the Artist cancels, any payments received for incomplete work will be refunded to the Client, and reasonable efforts will be made to transfer deliverables to the Client.
• Termination for breach of contract allows the non-breaching party to seek damages or remedies as permitted by law.
Indemnity and Liability
• The Artist shall not be liable for any consequential, incidental, or indirect damages arising from the use of the artwork.
• The Client agrees to indemnify the Artist against any claims, losses, or expenses stemming from misuse of the artwork or Client-provided content.
• Liability of the Artist for direct damages is limited to the total amount paid by the Client for the specific project.
Confidentiality
• Both parties agree to keep confidential all proprietary information, trade secrets, and sensitive materials disclosed during the course of the project.
• This obligation does not apply to information in the public domain or disclosed by a third party lawfully.
Force Majeure
• Neither party shall be liable for failure or delay in performing obligations under the Agreement due to events beyond their reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or government restrictions.
• If such circumstances persist for more than 30 days, either party may terminate the Agreement without penalty.
Dispute Resolution
• Any disputes arising from the Agreement should first be attempted to be resolved through good faith negotiation.
General Provisions
• This Agreement constitutes the entire understanding between the Artist and Client and supersedes any prior communications or agreements.
• No modification to the Agreement is valid unless in writing and signed by both parties.
• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Neither party may assign or transfer rights or obligations under this Agreement without prior written consent.
Agreement
• By entering into this Agreement, both the Artist and Client affirm their understanding of and compliance with these Terms and Conditions, thereby establishing a fair and professional working relationship. Agreement to these terms and conditions is assumed by both parties once the project commences.
